Terms of Service

1. Acceptance of Terms

By accessing and using Submito's form backend service, you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Service

Submito provides a submission management platform that allows agencies, developers, and businesses to collect, manage, and process form submissions without building custom backend infrastructure. Our service includes:

• Form submission collection and storage
• Customizable submission pipelines with configurable statuses
• Form health monitoring and SLA alerts
• Team collaboration with assignment and internal notes
• Spam protection via captcha services (Turnstile, reCAPTCHA, hCaptcha)
• Email notifications, webhook integrations, and file uploads
• Submission management dashboard with analytics
• Data export (CSV, JSON)

3. User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws or regulations
• Create forms designed to harvest credentials, engage in phishing, or deceive users
• Collect, process, or store sensitive personal data (health records, financial data, etc.) without implementing appropriate security measures and obtaining proper consent
• Attempt to gain unauthorized access to our systems, other users' accounts, or any part of the service
• Interfere with, disrupt, or impose an unreasonable burden on the service, servers, or networks
• Use the service to distribute spam, malware, viruses, or any other harmful code
• Engage in any activity that violates the privacy, intellectual property rights, or other rights of any person or entity
• Circumvent any security features or access controls of the service
• Use automated systems (bots, scrapers) to access the service except through our official API
• Sublicense, resell, or redistribute the service to third parties without our written permission

Violations of this Acceptable Use Policy may result in immediate account suspension or termination without refund. We reserve the right to investigate and prosecute violations to the fullest extent of the law.

5. Payment and Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you choose. All payments are processed securely through Creem, our merchant of record.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for all charges incurred during each billing period.

Price Changes: We reserve the right to change our pricing at any time. If we increase prices for your existing subscription, we will provide at least 30 days' notice before the change takes effect. Continued use of the service after a price increase constitutes acceptance of the new pricing.

Taxes: All fees are exclusive of applicable taxes (VAT, sales tax, etc.), which will be added to your invoice as required by law. You are responsible for paying all taxes associated with your use of the service.

Failed Payments: If payment fails, we will attempt to charge your payment method again. Continued payment failure may result in service suspension or account termination. You remain responsible for any outstanding amounts owed.

6. Data and Privacy

You retain all rights to the data you submit through our service. We process and store your data as described in our Privacy Policy. You are responsible for ensuring you have the right to collect and process any data submitted through your forms.

7. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the service with or without notice.

8. Limitation of Liability

Submito shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service.

9. Termination

Subscription Cancellation by You: You may cancel your paid subscription at any time through your account settings. Upon cancellation, you will retain full access to paid features until the end of your current billing period, after which your workspace will automatically downgrade to the free plan. No refunds are issued for mid-cycle cancellations.

Account Deletion by You: You may request full account deletion by contacting us at [email protected]. Upon deletion request, your account and all associated data will be permanently deleted within 30 days.

Termination by Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. In cases of non-payment, we will provide a grace period (typically 7-14 days) before downgrading your account to the free plan.

Effect of Termination: If we terminate your account for violations, your access will immediately cease. We will retain your data for 30 days to allow for appeal or recovery, after which all data will be permanently deleted. You may export your data before termination through your account dashboard.

Survival: Sections of these Terms that by their nature should survive termination (including payment obligations, IP rights, indemnification, disclaimers, and limitations of liability) will continue to apply after termination.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the service.

11. Free Trial & Refund Policy

14-Day Free Trial: New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. After 14 days, your account automatically downgrades to the Free plan unless you subscribe to a paid plan.

Cancellations: When you cancel your subscription, you will retain full access to paid features until the end of your current billing period. No refunds are issued for mid-cycle cancellations. After your paid period ends, your workspace will automatically downgrade to the Free plan with Free tier limits.

Refunds: Subscription payments are generally non-refundable. If you believe a charge was made in error, please contact us at [email protected] and we will review your case.

Refund Processing: Approved refunds are processed through Creem and may take 5-10 business days to appear in your account, depending on your payment method.

12. API Usage & Rate Limits

Our API is subject to rate limiting to ensure fair use and service stability. Rate limits vary by subscription plan and are detailed on our pricing page. Exceeding your rate limit will result in temporary throttling (HTTP 429 responses). Repeated or egregious violations may result in account suspension. We reserve the right to adjust rate limits to maintain service quality.

You may not use automated systems to circumvent rate limits or engage in activity that degrades service performance for other users.

13. Intellectual Property Rights

Our Rights: Submito and its original content, features, and functionality are owned by Project 45 SINGLE MEMBER P.C. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services or software.

Your Rights: You retain all rights to the data and content you submit through our service, including form configurations, submission data, and any other materials you upload. By using our service, you grant us a limited license to host, store, and process your data solely for the purpose of providing the service to you.

Feedback: If you provide us with feedback, suggestions, or ideas about our service, you grant us the right to use such feedback without any obligation to you.

14. Services Management

Right to Monitor: We reserve the right, but not the obligation, to monitor, review, or remove any content, forms, or submissions at our sole discretion. We may investigate any reported violation of these Terms or complaints and take appropriate action.

Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice. We will make reasonable efforts to provide advance notice of significant changes that materially affect your use of the service.

Removal of Abusive Users: We reserve the right to refuse service to anyone for any reason at any time. If we determine that you are engaging in prohibited activities, violating these Terms, or posing a security risk, we may immediately suspend or terminate your access without liability.

Content Removal: We may remove any content, forms, or data that we believe violates these Terms, applicable laws, or third-party rights, including intellectual property or privacy rights.

15. Data Retention & Deletion

Active Accounts: While your account is active, we retain your submission data according to your plan's retention period, as detailed on our pricing page. You may configure shorter retention periods within your workspace settings. Submission data is automatically deleted after the applicable retention period expires. See our Privacy Policy for full details.

Account Cancellation: If you cancel your subscription, your account will be downgraded to the Free plan. You may export your data at any time through your account dashboard.

Account Termination: Upon account termination (whether by you or us), we will retain your data for 30 days to allow for account recovery. After 30 days, all data will be permanently deleted from our systems, except where we are required by law to retain certain information.

Data Export: You may export your data in standard formats (JSON, CSV) at any time before deletion. It is your responsibility to export your data before terminating your account.

16. Third-Party Services

Our service integrates with and relies upon third-party services, including:

• Creem: Payment processing and subscription management (merchant of record)
• Cloudflare Turnstile, Google reCAPTCHA, hCaptcha: Spam protection and bot detection (configured per form)
• Resend: Transactional email delivery
• Umami: Privacy-focused website analytics (self-hosted, EU, no cookies)
• EU cloud infrastructure providers: For hosting and data storage (all data stored within the EU)

These third-party services have their own terms of service and privacy policies. We are not responsible for the practices of these third parties. Your use of our service constitutes acceptance of these third-party terms.

We are not liable for any disruption, failure, or data loss caused by third-party service providers.

17. Indemnification

You agree to indemnify, defend, and hold harmless Project 45 SINGLE MEMBER P.C., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your access to or use of the service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, or data protection rights
• Your collection, storage, or processing of data through our service
• Any content or data you submit through the service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

18. Warranty Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The service will be uninterrupted, secure, or error-free
• The results obtained from using the service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the service will meet your expectations
• Any errors in the service will be corrected

No advice or information, whether oral or written, obtained from us or through the service will create any warranty not expressly stated in these Terms.

19. Service Level & Uptime

We strive to maintain a service uptime of 99.9% (excluding scheduled maintenance). However, this is a target, not a guarantee. We do not offer service level agreements (SLAs) or uptime guarantees.

Scheduled Maintenance: We may perform scheduled maintenance at any time with reasonable advance notice. During maintenance windows, the service may be partially or fully unavailable.

Emergency Maintenance: We reserve the right to perform emergency maintenance without prior notice when necessary to protect the security or integrity of the service.

We are not liable for any damages, losses, or expenses resulting from service downtime, whether scheduled or unscheduled.

20. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts of Thessaloniki, Greece. You consent to personal jurisdiction in these courts and waive any objection to venue in these courts.

EU Consumer Rights: If you are a consumer based in the European Union, you retain any mandatory consumer protection rights under the law of your country of residence.

Alternative Dispute Resolution: Before initiating litigation, you agree to first attempt to resolve any dispute through good faith negotiations. If negotiations fail, you may seek resolution through mediation or arbitration.

21. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Project 45 SINGLE MEMBER P.C. regarding the use of the service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
